Why a template isn't the same as legal advice
Template 1: Simple Service Agreement
Use this as a starting point for a straightforward arrangement — one business providing a defined service to a client for an agreed fee.
Service Agreement
This Agreement is made between [Your Business Name] ("the Service Provider") and [Client Name] ("the Client"), effective from [Start Date].
1. Scope of Services. The Service Provider agrees to provide the following services: [describe the specific service(s) clearly — deliverables, not just a general description].
2. Fees and Payment. The Client agrees to pay [amount], payable [on completion / in installments / monthly — specify]. Late payments beyond [X days] may incur [a late fee or suspension of services — specify].
3. Timeline. Services will be delivered by [date or milestone schedule], subject to reasonable delays caused by the Client's delayed feedback, approvals, or provision of materials.
4. Revisions. This agreement includes [number] rounds of revisions. Additional revisions will be billed at [rate].
5. Confidentiality. Both parties agree to keep confidential any non-public business information shared during this engagement.
6. Termination. Either party may terminate this agreement with [X days] written notice. The Client remains responsible for payment for work completed up to the termination date.
7. Liability. The Service Provider's liability under this agreement is limited to the total fees paid under this agreement.
8. Governing Law. This agreement is governed by the laws of the Federal Republic of Nigeria.
Template 2: Mutual Non-Disclosure Agreement
Use this when you're discussing sensitive business information with a potential partner, investor, or contractor before a deal is finalized — before either side reveals ideas, numbers, or client lists.
Mutual Non-Disclosure Agreement
This Agreement is made between [Party A Name] and [Party B Name], effective from [Date], for the purpose of [brief description — e.g. "discussing a potential business partnership"].
1. Confidential Information. Each party may share business, financial, technical, or operational information that is not publicly known ("Confidential Information"). Both parties agree to keep such information confidential and use it only for the stated purpose above.
2. Exclusions. Confidential Information does not include information that: (a) is already public; (b) was already known to the receiving party before disclosure; or (c) is independently developed without reference to the disclosed information.
3. Duration. This obligation of confidentiality remains in effect for [e.g. 2 years] from the date of this Agreement, even if discussions between the parties end sooner.
4. No License or Obligation. Nothing in this Agreement obligates either party to proceed with any business relationship, deal, or transaction.
5. Governing Law. This agreement is governed by the laws of the Federal Republic of Nigeria.
Before you send either one
- Fill in every bracketed field — an unfilled template signed as-is protects no one
- Be specific in the scope/deliverables section — vague scope is the #1 cause of contract disputes
- Have a lawyer review anything involving significant money, equity, or long-term commitment
- Keep signed copies (digital is fine) somewhere you can actually find them again later
- Revisit and update your standard templates as your business and typical deals grow
